Acquisition

Omega Healthcare Announces New Investments Totaling $116 Million TIMONIUM, MARYLAND – December 16, 2005 – Omega Healthcare Investors, Inc. (NYSE:OHI) today announced the closing on the purchase of 10 skilled nursing facilities and one assisted living facility, for a total investment of approximately $115.5 million. The facilities total 1,610 beds and are all located in Ohio. The facilities are subject to a new ten year master lease between Omega and affiliates of an existing operator, CommuniCare Health Services. The annualized rent is approximately $11.6 million, contains annual escalators and has two ten year renewal options. In addition, Omega will make available for one year a working capital line of credit totaling $12.5 million. “We are very excited about expanding our relationship with the CommuniCare family of companies,” said Taylor Pickett, President and CEO. “The management team at CommuniCare exemplifies the type of high quality operator we look to partner with in the coming years.”

Two New Facilities

CommuniCare Leases Two New Facilities, CommuniCare of Waterford Commons and Crestwood Care Center PRESS RELEASE Cincinnati, Ohio ---- Health Care Holdings, Inc. leased two facilities from Omega Healthcare Investors, Inc., Waterford Commons, a 101- bed skilled nursing facility in Toledo, Ohio and Crestwood Care Center, a 159- bed skilled nursing facility in Shelby, Ohio effective November 7, 2003. Health Care Holdings is a member of the Communicare family of companies. First Annual World Class CommuniCanoe Trip 2002

The First Annual World Class CommuniCanoe Trip 2002 will be held June 11 on the Little Miami River, Loveland, Ohio. The event is sponsored by CommuniCare Health Services, a long term care company based in Cincinnati for its Administrators, Directors of Nursing, and Regional and Corporate leadership. "The goal of the World Class CommuniCanoe Trip is to teach our Administrators and Nursing Directors how to work together as cohesive teams. Anyone who has canoed knows that if you don't work together, you'll go in circles," state Kena Minnick, CommuniCare Executive Vice President and Chief Operating Officer. CommuniCare manages or owns Nursing Homes and Assisted Living facilities in Cleveland, Akron, Columbus, Cincinnati and in St. Louis, Missouri.

"Succeeding in the long term care industry of today with shrinking reimbursement, nursing shortages, increased state and federal bureaucracy, tougher standards - all in a more litigious environment, requires that we develop World Class leaders to meet the challenges. At CommuniCare, we are doing this in a fun, challenging way that stretches our leaders to go outside their comfort zones," said Minnick. Several leadership principles of the CommuniCanoe Trip will be addressed during the two-day event in Cincinnati. These include: If we can't work together, you'll just go in circles. Never stop paddling when the waters get rough Someone must take charge and steer the canoe, and it isn't always the boss. You must communicate with each other by talking and listening. If you go with the flow, you will finish, but in last place.

Lunch will not be served until all of the teams from all 22 facilities get to the Loveland Castle. Helping each other is all in our best interest. Life and work must be fun so that the homes we run are the type of homes where residents want to live and where the best employees want to work. CommuniCare Health Services has been in operation since 1984 and currently operates CommuniCare of Clifton, Mountain Crest and Burlington House in Cincinnati. There will be approximately 60 long term care executives hitting the river June 11 at 10:30 A.M. for the 5-mile trip. There will be a cookout and presentation of awards at the Loveland Castle at the halfway mark of the trip. As to the location of the event, Minnick said, "The Loveland Castle itself is a testament to one man's perseverance and pursuit of a dream. I want our leaders to be inspired to meet the challenges facing us in long term care and know all things are possible if we work together."
